Agreement Overview
These Terms of Service ("Terms") govern your use of eunix.tech services, including AI application debugging, security implementation, platform migration, and technical consulting for applications built on Replit, Bolt.new, v0.dev, Lovable, Bubble.io, and other AI development platforms.
By engaging our services, you agree to these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you ("Client") and eunix.tech ("Company", "we", "us").
Services Description
AI Platform Support
- Debugging and fixing applications from Replit, Bolt.new, v0.dev, Lovable, and other AI platforms
- Security auditing and vulnerability assessment
- Performance optimization and scalability improvements
- Platform migration services (e.g., Bubble.io to custom solutions)
Security Implementation
- Authentication and authorization system implementation
- Data encryption and privacy protection measures
- GDPR compliance and regulatory adherence
- Security monitoring and incident response setup
Technical Consulting
- Architecture design and technical guidance
- Code review and best practices implementation
- API reliability and error handling improvements
- Ongoing support and maintenance services
Client Responsibilities
Information Provision
- Provide accurate and complete project information
- Grant necessary access to applications, platforms, and systems
- Respond promptly to requests for clarification or additional information
- Maintain backup copies of all critical data and code
Compliance and Legal
- Ensure you have rights to all provided code and data
- Comply with all applicable laws and platform terms of service
- Obtain necessary permissions for data processing and modifications
- Maintain appropriate licenses for third-party software and services
Communication and Cooperation
- Participate in regular project updates and status meetings
- Provide timely feedback on deliverables and recommendations
- Designate authorized representatives for project decisions
- Maintain professional communication standards
Payment Terms
Pricing and Invoicing
- Fixed-price projects: 50% upfront, 50% upon completion
- Hourly projects: Weekly invoicing with net 15-day payment terms
- Emergency fixes: Payment due within 48 hours of completion
- All prices quoted in USD unless otherwise specified
Payment Methods
- Bank transfer (preferred for larger projects)
- PayPal (for smaller projects and international clients)
- Cryptocurrency (Bitcoin, Ethereum) upon request
- Credit card processing available with 3% processing fee
Late Payments and Disputes
- Late payment fee: 1.5% per month on overdue amounts
- Work may be suspended for payments overdue by 30+ days
- Payment disputes must be raised within 10 days of invoice
- Client responsible for collection costs and legal fees
Intellectual Property Rights
Client-Owned IP
You retain all rights to your original application code, data, business logic, and proprietary information. We claim no ownership over your existing intellectual property.
Work Product
Upon full payment, you receive full ownership of all custom code, configurations, and documentation created specifically for your project. This includes security implementations, bug fixes, and performance optimizations.
Company IP
We retain rights to our proprietary methodologies, tools, frameworks, and general knowledge. This includes our debugging techniques, security frameworks, and optimization strategies that we've developed independently.
Third-Party Components
Any third-party libraries, frameworks, or services integrated into your project remain subject to their respective licenses. We ensure all third-party components are properly licensed and documented.
Confidentiality and Data Security
Confidential Information
We treat all client information as confidential, including source code, business logic, user data, platform configurations, and any proprietary information shared during the engagement.
Security Measures
- End-to-end encryption for all data transmission and storage
- Multi-factor authentication for all team member access
- Secure development environments isolated from production
- Regular security audits and compliance assessments
Data Handling
- Access limited to team members directly involved in your project
- Secure deletion of all project data upon request or contract completion
- Compliance with GDPR, CCPA, and other applicable privacy regulations
- Incident response procedures for any security breaches

- 24-48 hour average turnaround for most fixes
- Same-day response for critical security issues

Limitation of Liability
While we strive for excellence and maintain comprehensive insurance, our liability is limited as follows:
- Direct Damages: Limited to the total amount paid for services in the 12 months preceding the claim
- Indirect Damages: We are not liable for consequential, incidental, or punitive damages
- Data Loss: Client is responsible for maintaining backups; we recommend regular backups before any work begins
- Third-Party Platforms: We are not responsible for changes, outages, or issues with third-party platforms (Replit, Bolt, etc.)
- Force Majeure: Not liable for delays or failures due to circumstances beyond our reasonable control
These limitations do not apply to damages caused by our gross negligence, willful misconduct, or breach of confidentiality obligations.
Termination
Termination by Client
- 7-day written notice for ongoing projects
- Payment due for all completed work and expenses incurred
- Delivery of all completed work product upon final payment
- Refund of unused prepaid amounts for future work
Termination by Company
- Immediate termination for non-payment after 30 days
- 7-day notice for material breach of terms
- Immediate termination for illegal activities or misuse
- Return of confidential information and secure data deletion
Post-Termination
- Confidentiality obligations survive termination indefinitely
- Client retains rights to all paid work product
- 30-day transition period for knowledge transfer if requested
- Secure deletion of all client data from our systems
Governing Law and Dispute Resolution
Applicable Law
These Terms are governed by the laws of [Jurisdiction], without regard to conflict of law principles. Any disputes will be resolved in the courts of [Jurisdiction].
Dispute Resolution Process
- Direct negotiation between parties (30 days)
- Mediation with mutually agreed mediator (60 days)

Emergency Relief
Either party may seek emergency injunctive relief in court for breaches of confidentiality, intellectual property violations, or security incidents without waiting for dispute resolution procedures.
